We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on a compatible device for your own personal or business use, subject to the terms of this Agreement.

This licence does not permit:

• Resale or sublicensing
• Use for the benefit of any third party
• Copying or modifying the Software
• Reverse engineering, decompilation or disassembly
  
  

All rights not expressly granted are reserved.

The Software and all associated intellectual property rights are and shall remain the sole property of Out of Hours XYZ Ltd.

You acknowledge that:

• The Software is licensed, not sold
• You acquire no ownership rights in the Software
• All trademarks, branding, and logos remain our property

You agree not to:

• Reproduce, distribute, or create derivative works from the Software
• Attempt to discover the source code or underlying algorithms
• Circumvent any technical protection or licensing controls
• Interfere with the Software’s normal operation
• Use the Software for illegal or unethical purposes

We may provide updates, bug fixes, or new features from time to time. You agree such updates are governed by this Agreement unless accompanied by a separate licence.

We reserve the right to modify or discontinue the Software or any features at any time, with or without notice.

This Agreement will remain in effect until terminated by you or us.

We may terminate your access if:

• You breach any term of this Agreement
• You violate our Terms of Service or Acceptable Use Policy
• Required by law or regulatory authority
  
  

Upon termination:

• You must cease all use of the Software
• We may deactivate your access without notice
• This Agreement will no longer apply, but relevant provisions (e.g. liability, IP, disclaimers) shall survive

The Software is provided “as is” and “as available” without warranties of any kind, express or implied, including:

• Fitness for a particular purpose
• Accuracy or reliability of results
• Uninterrupted or error-free performance
  
  

We are not liable for any data loss, damages, or disruptions caused by use of the Software.

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, consequential, or punitive damages
• Our total liability for any claims arising from this Agreement shall not exceed the fees paid by you in the past 12 months
  
  

Nothing in this Agreement excludes liability for death, personal injury, fraud, or other liability that cannot be excluded under English law.
